These Terms of Service govern your use of onespace.ltd and your dealings with One Space Hong Kong Limited (“ONEspace”, “we”, “us” or “our”). By using this website, requesting a quotation or engaging our services, you agree to these terms.
1. Our services
ONEspace provides interior, architectural and soft-furnishing design; furniture, household goods and building-material procurement; project coordination; inspections; international logistics; customs support; delivery; installation and related advisory services. The exact scope, deliverables, timing and fees for a project will be stated in the applicable quotation or agreement.
2. Eligibility and acceptable use
You must have legal capacity to enter into an agreement and, if acting for a company or another person, authority to bind them. You may use our website only for lawful purposes. You must not misuse the website, interfere with its operation, attempt unauthorised access, introduce malicious code, scrape it at unreasonable scale, or infringe the rights of others.
3. Enquiries, quotations and changes
Website descriptions and initial discussions are informational and are not binding offers. Unless stated otherwise, quotations are based on the information available when issued, remain valid for the period shown, and may be revised if requirements, quantities, exchange rates, freight, taxes, duties, supplier pricing, site conditions or other assumptions change. Changes to an accepted scope may affect fees and timelines and should be confirmed in writing.
4. Your responsibilities
You agree to provide accurate, complete and timely information; review and approve drawings, samples, specifications and quotations; obtain necessary site access, permissions and approvals; identify applicable building, safety or import requirements; and make payments when due. Measurements, plans or instructions supplied by you or third parties may be relied on by us unless we have expressly agreed to verify them.
5. Orders, pricing and payment
Orders become binding when accepted in writing or when any required deposit or payment is received. Prices, currencies, payment stages and taxes are stated in the relevant quotation or invoice. Unless expressly included, prices exclude duties, destination taxes, bank charges, storage, demurrage, special handling and costs caused by delay or incomplete information. We may pause work, orders or delivery while an overdue amount remains unpaid.
6. Procurement and third-party products
Many products and services are supplied or performed by independent manufacturers, vendors, carriers, installers and other partners. Product dimensions, colour, grain, texture and finish may vary within normal manufacturing or natural-material tolerances. Availability and lead times may change. Where permitted, manufacturer warranties and remedies will apply to third-party products. We will reasonably assist with valid claims but do not guarantee that a supplier will approve them.
7. Design materials and intellectual property
We and our licensors retain ownership of concepts, drawings, renderings, specifications, methods, website materials, branding and other intellectual property. After full payment, you receive a non-exclusive licence to use final project deliverables for the project and purpose for which they were prepared. You may not resell, publish, reproduce or use preliminary or unpaid work for another project without our written permission. You confirm that materials you provide may lawfully be used for the project.
8. Logistics, customs and delivery
Shipping and delivery dates are estimates unless expressly guaranteed in writing. Customs inspections, port congestion, carrier changes, weather, access restrictions and regulatory requirements may affect timing. You are responsible for providing accurate consignee and import information and, unless expressly included, for permits, duties, taxes and compliance at destination. Risk and title pass as stated in the applicable quotation, shipping document or written agreement.
9. Inspection, acceptance and claims
You should inspect goods and deliverables promptly upon receipt. Visible loss, damage, shortage or non-conformity should be recorded on the delivery document and reported to us with photographs and supporting information within the period stated in the project documents or, if none is stated, within seven days. Concealed issues should be reported promptly after discovery. Do not discard packaging or alter affected goods before reasonable inspection. Failure to notify us promptly may limit available carrier, insurer or supplier remedies.
10. Cancellations, returns and refunds
Cancellation and refund rights depend on the project documents and applicable law. Custom-made, personalised, ordered-to-specification, installed or imported goods may not be cancellable or returnable after production or procurement begins. Approved cancellations may be subject to completed work, committed supplier costs, shipping, storage, restocking and administrative charges. Nothing in these terms limits non-waivable consumer rights.
11. Delays and events beyond control
Neither party is liable for delay or failure caused by events reasonably beyond its control, including natural disasters, epidemic, war, civil disturbance, government action, trade restriction, labour disruption, utility or network failure, supplier interruption, carrier delay or port closure. The affected party will take reasonable steps to reduce the impact, and schedules may be adjusted accordingly.
12. Disclaimers and limitation of liability
To the maximum extent permitted by law, the website is provided on an “as available” basis and we exclude warranties not expressly stated in a written agreement. We are not liable for indirect, incidental, special, punitive or consequential loss, loss of profit, revenue, opportunity, goodwill or data, or for loss caused by inaccurate client information, unauthorised changes, third-party products or events beyond our reasonable control.
To the maximum extent permitted by law, our aggregate liability arising from a project will not exceed the fees paid to us for the affected services under that project. This limitation does not apply to liability that cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct.
13. Privacy and confidentiality
Our handling of personal information is described in our Privacy Policy. Each party should protect non-public commercial, technical and project information received from the other and use it only for the relevant relationship, except where disclosure is authorised or required by law.
14. Suspension and termination
We may suspend website access or services if you materially breach these terms, fail to pay an amount when due, misuse the website, or create a legal, safety or security risk. Either party may terminate a project as allowed by its project documents. Rights and obligations intended to survive, including payment, intellectual property, confidentiality and liability provisions, remain effective after termination.
15. Governing law and disputes
These terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. The courts of Hong Kong have exclusive jurisdiction, unless mandatory applicable law provides otherwise. Before commencing formal proceedings, the parties should first try in good faith to resolve the dispute through written discussion.
16. General terms
If a provision is unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations without our written consent; we may transfer ours as part of a business reorganisation or to an affiliate or successor. These terms and applicable project documents form the agreement concerning their subject matter.
17. Changes to these terms
We may update these terms from time to time. The revised version will be posted on this page with a new “Last updated” date. Changes apply prospectively unless applicable law or an agreed project document provides otherwise.
